Terms and Conditions of Sale
1. General
These Terms and Conditions of Sale (‘Terms’) apply to all goods and services supplied by
Colbrook Supplies Direct Ltd (‘we’, ‘our’, or ‘us’). By placing an order, the customer (‘you’ or ‘your’)
agrees to be bound by these Terms. No terms or conditions introduced by the customer shall
alter or override these Terms unless agreed in writing by an authorised representative of
Colbrook Supplies Direct Ltd.
2. Scope of Supply
We supply workwear, corporate branded clothing, personal protective equipment (PPE), cleaning
chemicals, janitorial, and paper products throughout the United Kingdom. We source proprietary
goods directly from manufacturers and act as distributors only. We therefore accept no design or
product development liability for any manufacturer’s goods.
3. Product Decoration and Customisation
We offer decoration of garments through embroidery and heat-seal transfer processes. Prior to
production, artwork, proofs, and colour representations are submitted to you for approval and
sign-off. By approving these, you accept full responsibility for the design accuracy, colours, and
spelling. Our liability is strictly limited to workmanship. No claims will be accepted for errors or
inaccuracies once customer approval has been received.
4. Manufacturer Warranties and Product Care
Product warranties are as provided by the original manufacturer and are subject to the
manufacturer’s warranty terms and criteria. Colbrook Supplies Direct Ltd offers no separate or additional
warranty. Any garments not laundered or maintained strictly in accordance with the
manufacturer’s care instructions (as printed on each garment) will invalidate the warranty. We are
not responsible for damage arising from misuse, improper care, or unauthorised alterations.
5. Cleaning Chemicals and Safe Use
We supply cleaning and hygiene chemicals for industrial, commercial, healthcare, hospitality, and
general cleaning applications. These products can present health or safety risks if misused. For
each product, we provide the manufacturer’s safety data sheets and usage instructions. Clients
are responsible for conducting their own risk assessments and implementing a safe system of
work, covering process control, staff training, PPE, safe storage, use, and disposal. All such
measures must be in place before using any chemicals supplied by Colbrook Supplies Direct Ltd.
6. Delivery, Shortages, and Damages
Deliveries are made to your nominated address, site, or place of business using either our own
vehicles or commercial carriers. Any shortages or damages must be reported to Colbrook
Supplies Ltd within 48 hours of delivery, quoting the relevant delivery note and carrier
documentation. All notifications must be submitted in writing or by email to sales@colbrook.co.uk.
Failure to notify us within this period will be deemed as full acceptance of the delivery.
7. Prices and Payment Terms
Prices are as quoted at the time of order and are exclusive of VAT unless otherwise stated. Credit
account customers must make full payment on or before the due date shown on their invoice.
Late or non-payment may result in suspension of further deliveries or withdrawal of credit
facilities. We reserve the right to charge interest on overdue balances at a rate of 4% above the
Bank of England base rate applicable at the time. You will also be liable for all reasonable costs
incurred by us in recovering overdue payments, including legal costs.
8. Liability and Limitation
Our liability is strictly limited to the replacement of defective goods or the refund of the purchase
price, at our discretion. We will not be liable for any indirect, consequential, or incidental
damages, loss of profit, or health issues arising from the use or misuse of products supplied.
Responsibility and liability for product performance rest solely with the manufacturer, as set out in
their published instructions, care information, and warranty documentation.
9. Title and Risk
Ownership of goods shall not pass to you until full payment has been received. Risk of loss or
damage passes upon delivery to your nominated address or to your carrier.
10. Force Majeure
The Company shall not be liable for failure or delay due to causes beyond its control including
strikes, transport failure, supplier shortages, weather, or government action.
11. Termination
The Company may suspend or terminate if the Client fails to make payment or commits material
breach. Upon termination, the Client shall pay all amounts due including work completed,
materials ordered, and cancellation costs.
12. Dispute Resolution
Disputes shall be resolved amicably and referred to mediation before court action.
13. Data Protection and GDPR Compliance
The Company shall comply with the UK General Data Protection Regulation (UK GDPR) and the
Data Protection Act 2018 in handling any personal data relating to the Client or its representative’s
Personal data will only be collected and used for legitimate business purposes
connected with the Contract, including communication, administration, and invoicing.
The Company shall keep all personal data secure, confidential, and only for as long as necessary
to meet contractual and legal obligations. Personal data will not be shared with third parties
except where required by law or where necessary to deliver the Contract, and only under
equivalent confidentiality obligations. The Client may contact the Company at
sales@colbrook.co.uk regarding any data protection queries or requests.
14. Governing Law
These Terms and any contract arising from them are governed by the laws of Scotland, and any
disputes shall be subject to the exclusive jurisdiction of the Scottish Courts.
15. Acceptance of Terms
By placing an order with Colbrook Supplies Direct Ltd, you confirm that you have read, understood, and
accepted these Terms and Conditions of Sale in full. No conditions included in any purchase
order or other communication from you shall override or amend these Terms.
